1. ACCEPTANCE OF TERMS

Welcome to the PMI Memphis Tennessee Chapter website (the "Site"). By accessing or using this Site, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Site.

PMI Memphis Tennessee Chapter ("PMI Memphis," "we," "us," or "our") is a nonprofit organization incorporated in the State of Tennessee. These Terms govern your use of our Site and the services we provide through it.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Site. Your continued use of the Site after any changes constitutes acceptance of the revised Terms.

2. USE OF THE SITE

2.1 Eligibility

You must be at least 18 years of age to use this Site or register for events, memberships, or services. By using the Site, you represent and warrant that you meet this age requirement.

2.2 Permitted Use

You may use the Site for lawful purposes only. You agree not to:

  • Use the Site in any way that violates applicable federal, state, or local laws

  • Attempt to gain unauthorized access to any portion of the Site or any systems or networks connected to the Site

  • Interfere with or disrupt the Site or servers or networks connected to the Site

  • Transmit any viruses, malware, or other harmful code

  • Collect or harvest any personally identifiable information from the Site without authorization

  • Use the Site to transmit spam, chain letters, or other unsolicited communications

2.3 Account Security

If you create an account or register for services through the Site, you are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3. SERVICES PROVIDED

PMI Memphis provides the following services through the Site:

  • Information about project management education, events, and professional development

  • Event registration for chapter meetings, networking events, and professional development programs

  • Access to certification course information and exclusive discount claims

  • Sponsorship opportunities and applications

  • Newsletter and SMS communication opt-in

  • Community resources and member information

4. MEMBERSHIPS

Memberships with PMI Memphis are processed and managed through the Project Management Institute (PMI) national organization at pmi.org. PMI Memphis does not directly process membership payments or manage membership accounts.

For questions about membership status, billing, or account management, please contact PMI directly through their website at pmi.org.

5. EVENT REGISTRATION AND PAYMENT

5.1 Event Registration

Event registration is facilitated through third-party platforms. When you register for an event, you will be redirected to an external payment processor to complete your transaction. PMI Memphis does not directly collect or store payment information (such as credit card numbers) on this Site.

5.2 Event Changes

PMI Memphis reserves the right to modify event details, including but not limited to dates, times, locations, speakers, and content, at any time without prior notice. In the event of significant changes or cancellations, we will make reasonable efforts to notify registered participants via email.

5.3 Refund Policy

Refund policies vary by event and are clearly stated on each event registration page. Please review the specific refund policy for each event before registering. Unless otherwise stated, refunds are handled on a case-by-case basis and are subject to approval by PMI Memphis.

5.4 Offline Payments

Some payments, including certain sponsorships and event registrations, may be processed offline via invoice. In such cases, payment terms and instructions will be provided directly by PMI Memphis staff.

6. CERTIFICATION COURSES

6.1 Third-Party Provider

All certification courses advertised on this Site, including but not limited to PMP, CAPM, PMI-CP, and PM Basics 101, are provided by Duvoll Education, an independent PMI Authorized Training Partner. PMI Memphis does not directly provide, administer, or certify these courses.

6.2 Discount Claims

PMI Memphis offers exclusive discount codes for certification courses through our partnership with Duvoll Education. When you claim a discount code through the Site, your contact information will be shared with Duvoll Education for the purpose of providing you with the discount and course registration details.

6.3 Course Registration and Payment

Course registration and payment are processed directly by Duvoll Education through their third-party payment processor. PMI Memphis is not responsible for course content, scheduling, refunds, or any issues related to course delivery.

6.4 No Guarantee of Certification

PMI Memphis makes no guarantee that participation in any certification course will result in successful certification. Certification outcomes depend on individual performance, exam results, and compliance with PMI certification requirements.

7. SPONSORSHIPS

7.1 Sponsorship Applications

Sponsorship opportunities are available at various tiers (Bronze, Silver, Gold) for events and annual partnerships. When you submit a sponsorship application through the Site, PMI Memphis will contact you to finalize the agreement and provide payment instructions.

7.2 Sponsorship Benefits

Sponsorship benefits are outlined on the sponsorship page and may include brand visibility, access to attendee information, networking opportunities, and other promotional benefits. PMI Memphis reserves the right to modify sponsorship benefits at any time.

7.3 Payment and Invoicing

Sponsorship payments are typically processed offline via invoice. Payment terms and instructions will be provided upon approval of your sponsorship application.

8. COMMUNICATIONS AND MARKETING

8.1 Email Communications

By providing your email address through the Site, you may receive email communications from PMI Memphis, including:

  • Event announcements and registration confirmations

  • Monthly newsletters

  • Educational content and professional development opportunities

  • Promotional offers and special announcements

You may opt out of marketing emails at any time by clicking the "unsubscribe" link at the bottom of any email or by contacting us at board@901pmi.org.

8.2 SMS/Text Messaging

By providing your phone number and opting in to SMS communications, you consent to receive text messages from PMI Memphis, including:

  • Event reminders and updates

  • Promotional offers and announcements

  • Time-sensitive information related to your registrations

SMS Terms:

  • Message frequency: Up to 4 messages per month during peak periods; typically 0-2 messages per month

  • Message and data rates may apply based on your mobile carrier's plan

  • Carriers are not liable for delayed or undelivered messages

  • To opt out of SMS communications at any time, reply STOP to any message

  • For help or support, reply HELP or contact board@901pmi.org

We use a customer relationship management system (CRM) to send email and SMS communications. Your contact information will be stored securely in our CRM for communication purposes.

8.3 No Sale of Information

PMI Memphis does not sell, rent, or trade your contact information to third parties for their marketing purposes.

9. THIRD-PARTY SERVICES AND LINKS

The Site may contain links to third-party websites, services, or payment processors, including but not limited to:

  • PMI national organization (pmi.org)

  • Event registration platforms

  • Payment processors

  • Certification course providers (Duvoll Education)

  • Social media platforms (LinkedIn, Facebook, Instagram)

PMI Memphis is not responsible for the content, privacy practices, or terms of service of any third-party websites or services. Your use of third-party services is governed by their respective terms and policies.

10. INTELLECTUAL PROPERTY

10.1 Ownership

All content on the Site, including but not limited to text, graphics, logos, images, and software, is the property of PMI Memphis, PMI national organization, or their respective licensors and is protected by copyright, trademark, and other intellectual property laws.

10.2 Limited License

You are granted a limited, non-exclusive, non-transferable license to access and use the Site for personal, non-commercial purposes. You may not reproduce, distribute, modify, or create derivative works from any content on the Site without prior written permission from PMI Memphis.

10.3 Trademarks

"PMI," "PMP," "CAPM," "PMI-CP," "Project Management Institute," and related marks are registered trademarks of the Project Management Institute, Inc. Use of these marks without permission is strictly prohibited.

11. DISCLAIMERS

11.1 No Warranty

THE SITE AND ALL SERVICES PROVIDED THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

PMI Memphis does not warrant that:

  • The Site will be uninterrupted, secure, or error-free

  • The information on the Site is accurate, complete, or current

  • Any defects or errors will be corrected

  • The Site is free of viruses or other harmful components

11.2 Event and Content Disclaimer

Event details, including dates, times, locations, speakers, and content, are subject to change without notice. PMI Memphis is not responsible for any inconvenience, expense, or damages resulting from event changes or cancellations.

11.3 Certification Disclaimer

PMI Memphis does not provide certification courses directly. All certification courses are provided by independent training partners. PMI Memphis makes no representations or warranties regarding the quality, content, or outcomes of any certification course.

11.4 Professional Advice Disclaimer

The content on the Site is for informational purposes only and does not constitute professional advice. You should consult with qualified professionals for advice specific to your situation.

12. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, PMI MEMPHIS, ITS OFFICERS, DIRECTORS, EMPLOYEES, VOLUNTEERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use of or inability to use the Site or services

  • Any unauthorized access to or use of our servers or any personal information stored therein

  • Any interruption or cessation of transmission to or from the Site

  • Any bugs, viruses, or other harmful code transmitted through the Site by any third party

  • Any event changes, cancellations, or scheduling conflicts

IN NO EVENT SHALL PMI MEMPHIS'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE SITE OR REGISTERING FOR SERVICES DURING THE SIX (6) MONTHS PRIOR TO THE DATE OF THE CLAIM.

13. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless PMI Memphis, its officers, directors, employees, volunteers, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use of the Site

  • Your violation of these Terms

  • Your violation of any rights of another party

  • Your violation of any applicable laws or regulations

14. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law principles.

Any legal action or proceeding arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Tennessee, and you consent to the personal jurisdiction of such courts.

15. DISPUTE RESOLUTION

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Site, the parties agree to first attempt to resolve the dispute through good-faith negotiation.

If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through the courts as described in Section 14.

16. SEVERABILITY

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

17. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PMI Memphis regarding your use of the Site and supersede any prior agreements or understandings.

18. WAIVER

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision, and PMI Memphis's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
